1. About us and these terms#
1.1 This website, www.ship2youglobal.com (the “Website”), is operated by [LEGAL ENTITY NAME], a [proprietorship / partnership / LLP / private limited company] registered in India, trading as SHIP2YOU IMPEX, with its office at S No 1/11 Plot No 5,6; S No 1/23 Plot No 3,4, CTS No 694, Pinac Colony, Karve Nagar, Hingne Budrukh, Pune, Maharashtra 411052, India (“Ship2You”, “we”, “us”, “our”). IEC: [IEC NUMBER]. GSTIN: [GSTIN].
1.2 These Terms & Conditions (“Terms”) govern your use of the Website and every enquiry, quotation request or communication you send us through it, by email, by phone or by WhatsApp. By using the Website or contacting us, you accept these Terms. If you do not accept them, do not use the Website.
1.3 The Website is intended for businesses and professional buyers only. By using it you confirm that you are at least 18 years old and have authority to act for the business you represent.
2. Definitions#
“Buyer” means any person or business that enquires about, orders or buys Products from us. “Products” means the goods we source, supply, export or import, including agricultural products, essential oils, pharmaceuticals, medical equipment, plastics, mild steel products and pipes, and industrial chemicals. “Sales Contract” means a written quotation, proforma invoice, purchase order confirmation or sales agreement signed or expressly accepted in writing by an authorised representative of Ship2You. “Incoterms” means the Incoterms® 2020 rules of the International Chamber of Commerce, or any later version named in the Sales Contract.
3. Website content is not an offer#
3.1 Product descriptions, images, specifications, prices, availability and delivery information on the Website are for general information only. They are an invitation to enquire and are not an offer to sell.
3.2 Submitting a quote request, sending a purchase order, or exchanging messages by email or WhatsApp does not create a contract. A binding contract arises only when a Sales Contract is issued and accepted in writing by both parties.
3.3 Quotations are valid for the period stated on them, or 7 days if no period is stated, and may be withdrawn or revised before written acceptance. Prices may change because of raw material costs, freight rates, exchange rates, duties or government policy.
3.4 Product images, including stock photographs, are illustrative. Agricultural and natural products vary naturally in size, colour, aroma and composition. Specifications are binding only when written into the Sales Contract or a certificate of analysis issued for that lot.
4. Sales Contracts take priority#
4.1 Each supply is governed by its Sales Contract. Where the Sales Contract conflicts with these Terms, the Sales Contract prevails for that supply. Terms in a Buyer’s purchase order or general conditions do not apply unless we accept them expressly in writing.
4.2 Unless the Sales Contract says otherwise, these Terms apply to it as supplementary conditions.
5. Delivery, risk and Incoterms#
5.1 Delivery terms, the passing of risk and the division of costs follow the Incoterm stated in the Sales Contract (for example FOB Nhava Sheva or CIF Jebel Ali). If none is stated, delivery is FCA at our nominated warehouse or port in India.
5.2 Delivery and shipment dates are estimates. We are not liable for delays caused by shipping lines, ports, customs, inspection agencies, banks, government authorities, weather or any event described in clause 11.
5.3 Title passes to the Buyer only after we receive full payment, even if risk has passed earlier.
6. Payment#
6.1 Payment terms are set out in the Sales Contract and may include advance payment, documentary collection (D/P), or an irrevocable letter of credit confirmed by a bank acceptable to us.
6.2 All bank charges outside India, and any intermediary bank charges, are borne by the Buyer. Payment is due in the currency stated in the Sales Contract.
6.3 We may withhold shipment or release of documents until payment is received in full. Overdue amounts carry interest at 18% per year from the due date until paid.
6.4 We will never ask you to pay into a bank account that is not stated on our signed proforma invoice. Before paying, confirm any change of bank details by calling +91 88302 82050. We are not liable for payments sent to accounts on the basis of emails or messages that did not come from us.
7. Inspection, quality and claims#
7.1 Where the Sales Contract provides for pre-shipment inspection by an independent agency (such as SGS, Bureau Veritas or an Export Inspection Council agency), that agency’s certificate is final and binding as to quality and quantity at loading.
7.2 The Buyer must inspect the goods on arrival and notify any claim in writing, with photographs and a survey report from an independent surveyor, within 7 days of discharge at the destination port for perishable goods and 15 days for other goods. Claims not notified within these periods are waived.
7.3 Our only obligation for goods proven defective is, at our option, to replace them, repair them, or refund or credit the price of the defective portion.
8. Buyer’s compliance obligations#
8.1 The Buyer is responsible for obtaining every import licence, permit, registration and approval required in the destination country, including product registrations for pharmaceuticals, medical devices and chemicals, phytosanitary and food safety requirements, and labelling and language rules.
8.2 The Buyer confirms that the Products will not be used, resold or re-exported for any purpose connected with chemical, biological or nuclear weapons, missiles or any military end use prohibited by law, or to any person or country under United Nations, Indian or other applicable sanctions.
8.3 We may refuse, suspend or cancel any enquiry or Sales Contract, without liability, if we believe it may breach India’s Foreign Trade Policy, SCOMET controls, sanctions, anti-money-laundering law or any other law, or if the Buyer does not provide end-use or know-your-customer information we ask for.
9. Regulated products#
9.1 Pharmaceuticals, medical equipment and certain chemicals are supplied only to Buyers who hold the licences required in the destination country, and only against the documents required by Indian law, which may include an end-user certificate, import permit or product registration.
9.2 We do not supply prescription medicines, controlled substances or medical devices to individual consumers. Information on the Website about these products is not medical advice.
10. Limitation of liability#
10.1 Our total liability arising from or in connection with any Sales Contract, whether in contract, tort (including negligence) or otherwise, is limited to the price paid for the specific consignment that gave rise to the claim.
10.2 We are not liable for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect, special or consequential loss, even if foreseeable.
10.3 We are not liable for any loss arising from use of the Website, including errors in its content, interruptions, or viruses, to the fullest extent permitted by law.
10.4 Nothing in these Terms limits liability for fraud, or for death or personal injury caused by our negligence, or any other liability that cannot be limited under Indian law.
11. Force majeure#
We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, riots, strikes, port congestion, vessel or container shortages, failure of carriers or suppliers, crop failure, export bans, changes in duties, quotas or government policy, sanctions, and acts of any authority. If such an event continues for more than 60 days, either party may cancel the affected Sales Contract by written notice, and we will refund any advance for goods not shipped, less costs already incurred.
12. Indemnity#
The Buyer will indemnify us against all losses, fines, penalties, costs and claims arising from the Buyer’s breach of these Terms or of any law, including clause 8, or from information the Buyer gave us that was false or incomplete.
13. Use of the Website#
You must not use the Website to submit false or misleading enquiries, impersonate anyone, upload malicious code, scrape or copy its content in bulk, or attempt to gain unauthorised access to it. We may block access to anyone who breaches this clause.
14. Intellectual property#
The Ship2You name, logo, text, page designs and original content on the Website belong to us or our licensors. You may view and print pages for your own business use. You may not copy, reproduce or use them for any other purpose without our written permission. Some photographs are used under licence from third-party image libraries.
15. Third-party links#
The Website may link to third-party sites and services (for example WhatsApp or maps). We do not control and are not responsible for their content, terms or privacy practices.
16. Anti-fraud notice#
Fraudsters sometimes impersonate trading companies. Our only official email domain is @ship2youglobal.com and our only official phone and WhatsApp number is +91 88302 82050. We are not responsible for any loss caused by people impersonating Ship2You.
17. Governing law and disputes#
17.1 These Terms and every Sales Contract are governed by the laws of India. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
17.2 The parties will first try to resolve any dispute by good-faith negotiation for 30 days.
17.3 Disputes with a Buyer located outside India will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by agreement or, failing agreement, under the rules of the Mumbai Centre for International Arbitration. The seat and venue of arbitration is Pune, India, and the language is English.
17.4 Subject to clause 17.3, the courts at Pune, Maharashtra have exclusive jurisdiction. We may still seek urgent interim relief, or recover unpaid amounts, in any court that has jurisdiction over the Buyer.
18. General#
18.1 We may update these Terms at any time by posting a new version with a new “Last updated” date. The version in force when a Sales Contract is made applies to that contract.
18.2 If any provision is held invalid, the rest remain in force. A failure to enforce any right is not a waiver of it. The Buyer may not assign its rights without our written consent.
18.3 These Terms are written in English; any translation is for convenience only.
